This License page explains who owns what when KRYLANE Studio Inc. (“KRYLANE Studio,” “we,” “us,” or “our”) delivers work to a client (“Client,” “you,” or “your”), how third-party plugin and theme licenses are handled, and what happens if a license we supply ends early.
It forms part of our Terms of Service. Where a signed agreement between us says something different, that agreement prevails.
When you have paid in full, the work is yours. We hand over complete ownership of the deliverables we create for you, along with the source files and access needed to use, edit, host, and maintain them, with no ongoing dependency on KRYLANE Studio. The only things we hold back are our own reusable internal tools, which we license to you inside the deliverable, the right to show the work in our portfolio, and third-party components that are not ours to give away. Those exceptions are explained in full below.
Upon receipt of payment in full for a project, KRYLANE Studio Inc. irrevocably assigns to you all right, title, and interest in the final deliverables created specifically for you under that project.
This covers website design files, layouts, page templates, and custom styling; custom code written specifically for your project, including HTML, CSS, JavaScript, and PHP; final logo files, brand marks, and identity assets in all delivered formats; brand guidelines, color systems, and typography specifications produced for you; custom graphics, illustrations, and icons created specifically for you; copy and content we wrote specifically for you, where copywriting was in scope; SEO deliverables produced for you, including keyword research, audits, strategy documents, optimized on-page content, and reports; custom AI automation workflows, prompt libraries, and chatbot configurations built specifically for you; and technical documentation prepared for your project.
This assignment includes all copyright and, where applicable, the deliverables are treated as works made for hire under US copyright law. Where any deliverable does not qualify as a work made for hire, this section operates as a full, worldwide, perpetual, irrevocable assignment. You may use, modify, adapt, extend, host, migrate, resell as part of your business, or transfer the deliverables freely, without further permission or payment to us. We will sign any reasonable further document you need to confirm this transfer, at your cost for third-party fees.
Until we have received payment in full, all deliverables, drafts, concepts, and source files remain the exclusive property of KRYLANE Studio Inc. You are granted no license to use them, including on a live site, in advertising, in an application for funding, or as a trademark. Any preview, staging, mockup, or draft is provided for review only. Using unpaid work is copyright infringement and a material breach of our Terms of Service. If a chargeback is raised in breach of our Terms, any license or assignment granted on this page is automatically revoked until the matter is resolved.
On final payment, and on your written request, we provide a full handover so you are never locked in to KRYLANE Studio.
Source Files: We hand over editable design files, layered logo files, and vector originals in the formats listed in your Proposal.
Code Repository: We hand over the full codebase, including any custom modules, with commit history where a repository was used.
Website Access: We provide administrator credentials for the CMS, and transfer ownership of the account where it stands in our name.
Hosting and Domain: We transfer, or give you full access to, any hosting and domain accounts we set up for you.
Analytics and Tools: We transfer ownership of Google Analytics, Search Console, Tag Manager, and similar properties we created for you.
Automation and Chatbot: We hand over workflow exports, prompt libraries, configuration files, integration documentation, and API setup notes.
Plugin and Theme Licenses: These are handled as described in Section 5 below.
Documentation: We provide a written handover document covering how the system is built and how to maintain it.
Training: Where your Proposal includes it, we provide one handover and training session.
Handover is provided at the end of an engagement or at any time on written request after full payment. A reasonable transfer is included; extended migration support, retraining, or assistance to a new agency beyond that is billable at our then-current rate. We do not withhold access, hold files hostage, or require a continuing retainer as a condition of handover.
Our Tools, Frameworks, and Templates: KRYLANE Studio retains full ownership of the reusable materials we bring to every project. These include internal code libraries, boilerplates, starter themes, and component systems; reusable automation templates, prompt frameworks, and chatbot architecture patterns; internal processes, checklists, audit templates, SEO methodologies, and reporting templates; and general know-how, techniques, and skills. Where any of these are embedded in your deliverables, we grant you a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, modify, and host them as part of those deliverables, including after any transfer of the deliverables to a new owner. Practically, this means you can do anything you want with your website, brand, or automation, including hiring someone else to modify it. What you may not do is extract our underlying framework or template and resell or redistribute it as a standalone product to third parties.
Portfolio and Marketing Rights: KRYLANE Studio retains the perpetual, non-exclusive, worldwide right to display and describe the work in its portfolio and marketing. This includes the KRYLANE Studio website, portfolio pages, and case studies; social media, presentations, pitch decks, and proposals; award submissions and industry publications; and advertising and promotional materials. It also includes screenshots, images, mockups, video, your business name, and your logo, and it may include performance metrics where you have agreed to their publication. If your project is confidential, tell us in writing before the project ends and we will either omit it entirely or present it anonymized. We will also honor an NDA or a confidentiality clause in a signed agreement, which overrides this paragraph. You may ask us at any time to remove your work from our public portfolio and we will do so within a reasonable time, though we may retain it in private, non-public materials such as internal records. We will not use client work in a way that implies your endorsement of a third party, or in a misleading way.
Unused Logo Concepts: For logo and branding projects, the selected final logo is yours exclusively on payment in full, with all rights assigned as described in Section 2. Rejected, unused, and alternate concepts remain the property of KRYLANE Studio Inc. and are not licensed to you. We may develop, repurpose, or present unused concepts elsewhere, including for other clients, and you may not use, register, or claim rights in a concept you did not select and pay for. If you want to acquire an additional concept, we can license or assign it for an agreed fee.
Aggregate and Anonymized Data: We may use anonymized, aggregated performance data across our client base for benchmarking, research, and improving our services, provided it does not identify you.
This is the section that most often causes confusion, so we set it out in detail.
KRYLANE Studio holds agency and developer-tier licenses with a number of plugin and theme vendors. These licenses cover multiple client sites at a total cost far below what individual retail licenses would cost, and we pass that saving on to you. Instead of paying full retail for each premium plugin or theme, you get it at a materially lower rate through our agency licensing.
Because vendors have different rules, we use two models. Your Proposal or handover document will state which model applies to each product. If a product is not listed, ask us and we will confirm in writing.
Model A – a sublicensed seat under KRYLANE’s agency license: The license remains registered to KRYLANE Studio Inc., and your website is activated as a seat under it. You get full use of the plugin or theme on the agreed websites, updates and vendor security patches for as long as the seat is active, the lower agency rate rather than retail pricing, and support routed through KRYLANE Studio, since the vendor relationship is ours. What you should understand is that the license is held in KRYLANE Studio’s name rather than yours, and the seat is non-transferable, meaning it cannot be moved to another agency, resold, or reassigned to another business. It is valid for the specific domains agreed, and moving to a new domain requires reactivation through us. The seat is tied to a paid term, usually annual, and lapses if not renewed. If the seat lapses or ends, the plugin generally continues to function but stops receiving updates and security patches, which becomes a security risk over time. You may not distribute, resell, sublicense, or share the license key with any third party. We will notify you before a term expires and invoice for renewal, and if you choose not to renew we will tell you what it costs to buy your own license directly from the vendor so that you can keep receiving updates.
Model B – a license purchased in your name and transferred to you: For products where the vendor permits it, or where you prefer full independence, we purchase the license in your name, using your details, and hand over the key and vendor account at delivery. The license is registered to you and is yours permanently, you deal with the vendor directly for renewals and support, and the license is fully portable, moving with you if you change agencies. What you should understand is that retail pricing typically applies rather than the agency rate, that renewal is your responsibility and we are not liable if a license you own lapses, and that support comes from the vendor rather than from us, unless you hold a maintenance retainer.
Before we install a paid plugin or theme, we will tell you the product name and vendor, which model applies, the cost to you and the term it covers, and what happens at renewal. If we have not told you and you want to know, email [email protected] and we will confirm in writing.
Many components we use are free or open-source, for example GPL-licensed WordPress plugins, MIT-licensed JavaScript libraries, and open-licensed fonts. These carry their own licenses, which continue to govern their use. They are provided to you at no cost and remain subject to their original license terms, which we do not and cannot alter. Where a plugin or theme is GPL-licensed, the GPL governs the code itself, and what you are paying for under Model A is the vendor’s update, support, and license entitlement rather than ownership of the code.
If a plugin or theme is supplied under Model A, as a sublicensed seat under KRYLANE Studio’s agency license, we take responsibility for the term you paid for.
We will refund the unused portion of the license fee you paid us in two circumstances. The first is where KRYLANE Studio’s agency license ends – if our agency or developer license with the vendor is cancelled, lapses, is downgraded, or is revoked for any reason attributable to us, and your seat stops as a result. The second is where the vendor discontinues the product or ends agency licensing – if the vendor shuts down the product, discontinues it, revokes agency-tier licensing, changes its terms so that sublicensing is no longer permitted, or goes out of business, and your seat cannot continue as a result.
In both cases we will also notify you as soon as we become aware of the situation, tell you what it costs to license the product directly from the vendor where that is still possible, recommend a comparable alternative where the product is discontinued, and quote separately for the migration work if you want us to switch you to an alternative.
Refunds are calculated pro-rata by full unused calendar months remaining in the paid term. Partial months are not refunded, and a term ending mid-month is rounded down to the last full month. The calculation runs from the date the seat stops working, or the date we notify you it will stop, whichever is later. The refund is based on what you actually paid KRYLANE Studio for that license, not on the vendor’s retail price. Refunds are issued to the original payment method within 14 business days, or credited against your account at your option. For example, if you paid $60 for a 12-month seat and our agency license ends after month 7, leaving 5 full months unused, the refund is $60 divided by 12, multiplied by 5, which is $25.00.
License fees are not refundable in a number of situations. They are not refundable where you cancel the engagement early or change agencies, because the seat was purchased and activated for your term; this is separate from service fees, which are governed by our Terms of Service. They are not refundable where you choose not to renew at the end of a term, in which case nothing is owed either way, or where the license is under Model B and registered in your name, since your relationship is with the vendor and their refund policy applies. we will help you raise a request, but the decision is theirs. They are not refundable where the seat is deactivated because of your breach, such as non-payment, a chargeback, sharing the license key, or use outside the agreed domains, or where you simply stop using the plugin while the seat remains active and available to you. They are not refundable where the product still works and continues to receive updates, since a change in features, pricing, or design by the vendor is not grounds for a refund, or where a third party breaks the installation, including you, another developer, a hosting change, or an incompatible plugin. Finally, service fees, setup fees, installation labor, and configuration work are for work performed and are non-refundable; only the license fee itself is refundable, and only in the two circumstances described above.
To request a refund, email [email protected] with the subject line “License Refund”, naming the product and your domain. We will confirm eligibility within 5 business days and process any eligible refund within 14 business days of that confirmation.
Logos, websites, and brand materials may incorporate assets licensed from third parties.
Fonts: Web fonts and desktop fonts carry their own licenses. Free and open fonts, such as those from Google Fonts, are included at no cost. Commercial fonts require a license held in your name, and ongoing web-font licensing may be metered by pageviews. We will tell you which fonts require your own license and what it costs.
Stock Photography and Video: These are licensed under the provider’s terms. Standard licenses usually permit commercial use but restrict resale, redistribution, and use in merchandise or templates. Where we purchase on your behalf, we will transfer the license to you if the provider permits it.
Icons and Illustrations: Free icon sets may require attribution. Premium sets carry their own license terms.
Mockup Templates: These are used to present your work. The mockup template itself is not transferred to you; the design shown inside it is.
Third-party asset licenses are set by their owners, and we cannot grant you more rights than the underlying license allows. Where an asset requires a license held in your name, obtaining and maintaining it is your responsibility, and we will tell you clearly when this applies.
Where a deliverable includes content generated or assisted by AI tools, we disclose the use of AI where it is material to the deliverable. Ownership of AI-generated output transfers to you on full payment on the same terms described in Section 2, to the fullest extent that rights in it can be transferred.
Copyright law regarding purely AI-generated works is unsettled. In the United States, works lacking sufficient human authorship may not be eligible for copyright registration, and we cannot warrant that AI-generated material is protectable by copyright. AI-generated output is also not guaranteed to be unique; similar output may be produced for others, and we cannot warrant that it does not resemble existing third-party work. The output of AI tools is subject to the terms of the AI provider used, and where a provider’s terms limit commercial use or ownership, those terms apply.
For logos and core brand marks, we use human-authored design as the primary method precisely because of these issues. Where AI is used at any stage of a brand mark, we will tell you. See our Disclaimer for further limitations on AI work.
KRYLANE Studio does not conduct trademark searches or clearance, and does not provide trademark, copyright, or other intellectual property legal advice.
Transferring ownership of a logo to you means we assign our rights in the design. It does not mean the mark is available for trademark registration, that it is free of conflict with third-party rights in any jurisdiction, or that you are safe to use it commercially without further checks.
Before adopting or registering any brand mark, engage a qualified trademark attorney to conduct a clearance search. You are responsible for confirming that your use does not infringe third-party rights, and you indemnify us in respect of your use as set out in Section 14 of our Terms of Service.
Even after full ownership transfers, you may not extract KRYLANE Studio’s underlying frameworks, boilerplates, or automation templates and resell or redistribute them as standalone products; redistribute or resell third-party plugins, themes, fonts, or stock assets, or share license keys; use unselected logo concepts you did not pay for; use the KRYLANE Studio name, logo, or trademarks without written permission; or represent that KRYLANE Studio endorses your business, products, or claims.
You also may not represent modified work as being current KRYLANE Studio work. Once you or a third party materially modify a deliverable, we are not responsible for it and may ask you to remove any credit to us.
Unless the Proposal states otherwise, we may include a small, discreet “Designed by KRYLANE Studio” credit with a link in the footer of websites we build.
You may request removal of this credit at any time at no charge, and we will remove it within a reasonable time.
