Effective Date: August 15, 2026
These Terms of Service (“Terms”) are a legal agreement between you (“Client,” “you,” or “your”) and KRYLANE Studio Inc., a California corporation with its principal address at 5 Queens Wreath Way, Irvine, CA 92612 (“KRYLANE Studio,” “we,” “us,” or “our”).
These Terms govern your use of krylane.com (the “Site”) and your engagement of our services. By using the Site, requesting a quote, accepting a proposal, paying an invoice, or otherwise engaging us, you agree to these Terms.
If you do not agree to these Terms, do not use the Site or engage our services.
“Services” means search engine optimization, website development, logo and branding design, AI automation, chatbot development, and any other services we agree to provide. “Proposal” means a written scope of work, quote, estimate, or statement of work issued by KRYLANE Studio. “Agreement” means these Terms together with the applicable Proposal, invoice, and any signed contract. “Deliverables” means the work product we create and deliver to you under a Proposal. “Client Materials” means content, data, images, logos, copy, fonts, code, credentials, and anything else you supply to us.
Where there is a conflict between documents, the following order applies: first, a signed master services agreement or contract between us; second, the applicable Proposal or statement of work; third, these Terms of Service; and fourth, any other policy on the Site.
Our Privacy Policy, Cookies Policy, GDPR, Disclaimer, and License pages are incorporated into these Terms by reference.
The Services are intended for businesses and for individuals aged 18 or over acting in a business capacity. By engaging us, you represent that you are at least 18 years old and that you have authority to bind the entity you represent.
The Services are provided for commercial purposes. Consumer protection provisions that apply only to consumer transactions may not apply.
Scope. We will provide the Services described in the applicable Proposal. Anything not expressly listed in the Proposal is out of scope. Unless expressly included, common exclusions are content writing, photography, videography, paid ad spend, third-party subscription fees, hosting fees, domain fees, translation, ongoing maintenance, and training beyond a single handover session.
Proposals and acceptance. Proposals are valid for 30 days from the date issued unless stated otherwise. A Proposal becomes binding when you accept it in writing, including by email or e-signature, or pay the deposit invoice, whichever happens first. Prices, timelines, and availability quoted anywhere else including the Site, the chatbot, phone calls, or social media are indicative only and do not bind us.
Change requests. Any request that changes the agreed scope, deliverables, or timeline is a change request. We will provide a written estimate of the additional cost and schedule impact. Work on a change request begins only after you approve it in writing, and unapproved change requests will not be performed.
Timelines. Timelines in a Proposal are estimates made in good faith and assume timely cooperation from you. Delays caused by late feedback, late content, late approvals, late payment, or late access will extend the timeline accordingly, and may result in rescheduling if our production calendar has moved on.
Subcontractors. We may use employees, contractors, freelancers, and specialist agencies to perform parts of the Services. We remain responsible to you for the work performed, and all personnel are bound by confidentiality obligations.
You agree to provide accurate, complete, and timely information, content, and materials, and to provide the access we need to your website, hosting, domain, analytics, advertising, CRM, and other platforms. You agree to nominate a single point of contact with authority to give feedback and approvals, and to respond to requests for feedback, content, or approval within 5 business days unless otherwise agreed.
You agree to review Deliverables carefully before approving them, to maintain your own backups of your website and data, to pay invoices on time, and to comply with all laws applicable to your business, website, and use of the Deliverables. You warrant that all Client Materials are owned by you or properly licensed, and that our agreed use of them will not infringe any third-party rights.
On client delay, if you fail to provide required materials, feedback, or approvals for 15 consecutive business days, we may treat the project as stalled. In that case we may reschedule the remaining work to the next available slot in our calendar, invoice for all work completed to date, and charge a reasonable reactivation fee to restart the project. If a project remains stalled for 60 consecutive days, we may deem it complete as-delivered, invoice the remaining balance, and close the engagement.
Payment structures. Depending on the engagement, one or more of the following applies as stated in your Proposal. For fixed-price projects on a 50/50 basis, 50% is payable as a deposit before work begins and the remaining 50% is payable on completion, before final files, access, or transfer of ownership are released. For milestone-based installments, payment is tied to project phases such as discovery, design, build, and launch; each milestone is invoiced as it is reached, and work on the next phase begins only after the prior milestone invoice is paid. For monthly retainers, recurring services such as SEO, AI automation, chatbot maintenance, and support are billed monthly in advance, the first month is due before work begins, and the retainer renews automatically each month until cancelled.
Deposits are non-refundable. All deposits and advance payments are non-refundable once work has commenced. A deposit reserves your place in our production schedule, covers discovery, research, planning, and initial production, and compensates us for turning away other work. This applies whether you cancel, change your mind, become unresponsive, or the project ends for any reason other than our material breach. Where a project ends because of our uncured material breach, refunds are handled under Section 12. Refunds relating to third-party plugin and theme licenses are handled separately on our License page.
Payment terms. Invoices are due on receipt unless the invoice states otherwise. Payment is accepted by the methods stated on the invoice, and card processing fees may be passed through where permitted by law. All fees are stated in US dollars and are exclusive of taxes; you are responsible for any sales, use, VAT, GST, withholding, or similar taxes, other than taxes on our net income. You may not withhold or set off payment on account of a dispute unless the dispute has been raised in writing within 7 days of the invoice date and relates to that invoice.
Late payment. If an invoice is more than 7 days overdue, interest accrues at 1.5% per month (18% per year) or the maximum permitted by California law, whichever is lower, on the outstanding balance. We may suspend all work, support, and access to Deliverables without further notice and without liability, and we may withhold delivery, transfer of ownership, source files, and account access until payment is received in full. A reasonable reactivation fee may apply to resume suspended work. If an invoice is more than 30 days overdue, we may terminate the engagement under Section 12 and refer the debt for collection. You are responsible for reasonable collection costs, court costs, and attorneys’ fees we incur in recovering unpaid amounts.
Third-party costs. Costs payable to third parties — hosting, domains, plugins, themes, stock assets, fonts, API usage, AI model usage, email platforms, advertising spend, and similar are your responsibility and are not included in our fees unless the Proposal expressly says so. Where we advance such costs on your behalf, we will invoice them to you, and we may add a reasonable administration margin, disclosed in the Proposal. Third-party pricing is set by the vendor and may change at any time. Recurring third-party costs are your ongoing responsibility after handover, and if a service lapses because you did not renew it, we are not responsible for the resulting downtime, data loss, or loss of functionality.
Price changes. We may change our rates for new Proposals at any time. For ongoing retainers, we will give at least 30 days’ written notice of a price change. If you do not accept the new price, you may cancel the retainer effective at the end of the notice period.
Retainer cancellation. Either party may cancel a monthly retainer by giving 30 days’ written notice before the next billing date. The current paid month is served out in full and is not refundable. Minimum terms, where a Proposal specifies one commonly 3 or 6 months for SEO must be completed before cancellation takes effect, and any remaining months of a minimum term become immediately due on early cancellation.
Chargebacks. Raising a chargeback or payment dispute without first contacting us in writing and allowing 10 business days to resolve the issue is a material breach of these Terms. We reserve the right to suspend all Services, revoke licenses granted on our License page, recover the disputed amount plus all associated fees and costs, and pursue any other remedy available to us.
Revision rounds. Unless the Proposal states otherwise, each design or development deliverable includes two (2) rounds of revisions. A round is a single consolidated set of feedback, delivered together. Additional rounds, piecemeal feedback delivered in separate batches, or changes of direction after a concept has been approved are billed at our then-current hourly rate.
What is not a revision. The following are change requests rather than revisions, and are billed separately: changes to the agreed scope, sitemap, page count, or feature set; a new creative direction after a concept has been approved; rewriting or restructuring content after build has started; changes required because Client Materials were supplied late, incorrectly, or in the wrong format; and adding integrations, platforms, or third-party tools not in the Proposal.
Deemed approval. If you do not provide feedback on a Deliverable within 7 business days of delivery, it is deemed approved and the project moves to the next phase.
Acceptance and warranty period. You have 14 days from delivery to report bugs or defects that mean a Deliverable does not materially conform to the Proposal, and we will correct conforming defects at no charge during this period. After 14 days, the Deliverables are deemed accepted, and further work — including fixes arising from changes you or third parties make, plugin or platform updates, hosting issues, or browser changes — is billable at our then-current rate or under a maintenance retainer.
Search engine optimization. SEO is an ongoing process, not a one-time fix, and meaningful results commonly take 4 to 6 months or longer. We do not guarantee rankings, traffic, leads, conversions, or revenue, as explained in our Disclaimer. We use techniques we believe conform to search engine guidelines, and we do not use techniques we consider deceptive. We are not responsible for ranking or traffic changes caused by algorithm updates, penalties resulting from prior work by others, changes you or third parties make to the site, hosting downtime, or competitor activity. Where you have engaged, or later engage, another SEO provider on the same property, we are not responsible for the combined outcome and may suspend work. Reporting is provided monthly, and data comes from third-party tools whose figures may differ from one another.
Website development. We develop to the specification in the Proposal, tested on current stable versions of major browsers. Compatibility with end-of-life browsers or browser versions is out of scope. Hosting, domain registration, SSL, email hosting, and ongoing maintenance are separate services and are only included if the Proposal says so. Post-launch, you are responsible for updates, backups, security, and maintenance unless you hold a maintenance retainer with us. We are not liable for issues arising after handover from your changes, third-party plugin or theme updates, hosting changes, or actions of other developers.
Logo and branding design. Concepts presented remain KRYLANE Studio’s property until the final invoice is paid, as set out on our License page. We do not perform trademark searches or clearance and we do not provide IP legal advice; you should engage a trademark attorney before adopting or registering a mark. Fonts, stock imagery, icons, and mockup assets used in a design are subject to their own third-party licenses, which may require you to hold your own license. Final files are supplied in the formats listed in the Proposal.
AI automation and chatbots. AI systems produce probabilistic output and can be inaccurate, so human review is required, as explained in our Disclaimer. Systems depend on third-party AI providers, APIs, and platforms whose availability, pricing, models, rate limits, and terms may change or be discontinued without notice; we are not liable for such changes, and re-work required to accommodate them is billable. AI model usage costs, API fees, and platform subscriptions are your responsibility and are billed to your own accounts wherever possible. You are responsible for the accuracy and legality of data and content you supply to an AI system, for how you deploy it, for supervising its output, and for complying with laws requiring disclosure of automated systems. Unless a maintenance retainer is in place, we are not responsible for ongoing monitoring, tuning, or availability of a delivered system. Where an AI system we build processes personal data of your users, you are the data controller and we act as processor, as described in Section 12 of our GDPR page.
Ownership of Deliverables, portfolio rights, KRYLANE Studio’s retained tools and frameworks, and third-party plugin and theme licensing are governed in full by our License page, which forms part of these Terms.
In summary, all rights in the Deliverables transfer to you on payment in full, KRYLANE Studio retains the right to display the work in its portfolio, and KRYLANE Studio retains ownership of its own reusable tools, frameworks, and templates, which are licensed to you for use within the Deliverables.
Until payment in full is received, all Deliverables remain the property of KRYLANE Studio Inc., and any use of them is unlicensed.
Each party will keep the other’s confidential information in confidence, use it only for the purposes of the engagement, and protect it with at least reasonable care. This obligation survives termination for 3 years, and indefinitely for trade secrets.
Confidential information does not include information that is publicly available, was already known without obligation of confidence, is independently developed, or is lawfully received from a third party. Either party may disclose confidential information where required by law, giving the other reasonable notice where lawfully permitted.
Nothing in this section prevents KRYLANE Studio from exercising the portfolio rights described on our License page.
Our warranty. We warrant that the Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards, and that the Deliverables will materially conform to the Proposal at the time of delivery. Your remedy for breach of this warranty is correction of the non-conforming work within the acceptance and warranty period described in Section 7.
Disclaimer. Except as expressly stated in the warranty above, the Services and Deliverables are provided “as is” without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance. We do not warrant any specific business result. Full detail is in our Disclaimer, which is incorporated into these Terms.
Your warranties. You warrant that Client Materials do not infringe any third-party intellectual property, privacy, publicity, or other rights; that you have all necessary rights and permissions; that your business and website comply with applicable law; and that any credentials you provide are yours to share.
Term. The engagement runs from acceptance of the Proposal until the Services are completed, or, for retainers, until cancelled under the retainer cancellation terms in Section 6.
Termination by KRYLANE Studio. We may suspend or terminate immediately on written notice if you fail to pay an invoice more than 30 days after its due date; materially breach these Terms and do not cure the breach within 10 business days of written notice; become insolvent, enter bankruptcy, or cease trading; ask us to do anything unlawful, deceptive, or contrary to a platform’s policies; raise a chargeback in breach of Section 6; or subject our team to abusive, harassing, threatening, or discriminatory conduct.
Termination by you. You may terminate a project engagement at any time on written notice. On termination, all deposits and payments made are non-refundable, all work completed or in progress up to the termination date becomes immediately payable, and ownership of Deliverables transfers only in respect of work paid for in full, with unpaid work remaining our property. Retainer cancellation follows the terms in Section 6.
Termination for our breach. If we materially breach these Terms and fail to cure within 15 business days of your written notice, you may terminate. In that case you will pay for work satisfactorily completed to the date of termination, and we will refund any prepaid amounts attributable to work not performed. Plugin and theme license refunds are governed by our License page.
Effect of termination. On termination, we will invoice all amounts due, deliver work paid for in full, and, on written request within 30 days, provide a reasonable handover of files and access. Handover work beyond a reasonable transfer is billable at our then-current rate. Sections that by their nature should survive termination will do so, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law.
To the maximum extent permitted by law, KRYLANE Studio Inc. and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, rankings, traffic, opportunity, or anticipated savings, however caused and under any theory of liability, even if we were advised of the possibility.
Our total aggregate liability arising out of or relating to the Services, the Deliverables, the Site, or these Terms — whether in contract, tort including negligence, strict liability, or otherwise — will not exceed the total fees you actually paid to KRYLANE Studio Inc. under the applicable Proposal in the twelve (12) months immediately preceding the event giving rise to the claim.
We are not liable for loss or damage caused by third-party platforms, plugins, themes, hosting providers, APIs, AI model providers, search engines, or advertising platforms, including their outages, changes, price increases, security incidents, account suspensions, or discontinuation. We are also not liable for loss of data where you have not maintained your own backups.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, and where that applies our liability is limited to the greatest extent permitted by law.
Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action accrues, or it is permanently barred, except where a longer period is required by law.
You agree to indemnify, defend, and hold harmless KRYLANE Studio Inc. and its officers, directors, employees, contractors, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys’ fees, arising out of or related to Client Materials, including any allegation that they infringe or misappropriate third-party rights; your use of the Deliverables after delivery, including modifications made by you or third parties; your business operations, products, services, or advertising claims; your breach of these Terms or of any law; your deployment or supervision of any AI system we build for you, and the output of that system; and your failure to obtain legal, trademark, accessibility, or regulatory advice where needed.
We will notify you promptly of any claim and give you reasonable cooperation. We reserve the right to participate in the defense with counsel of our own choosing at our own expense.
During the engagement and for 12 months afterwards, you agree not to directly or indirectly solicit for employment or engagement any KRYLANE Studio employee or contractor who worked on your project, without our prior written consent. General public job advertisements not targeted at our personnel are not a breach of this section.
Neither party is liable for delay or failure to perform, other than a payment obligation, caused by events beyond its reasonable control. These include natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, government action, utility or internet failure, hosting or cloud provider outage, cyberattack, and the failure or discontinuation of an essential third-party service.
The affected party will notify the other promptly and use reasonable efforts to resume performance. If the event continues for more than 60 days, either party may terminate on written notice.
You agree not to use the Site for any unlawful purpose or in breach of these Terms; copy, scrape, mirror, republish, or resell Site content without written permission; use automated tools to access the Site in a way that imposes an unreasonable load, or to harvest data or contact details; use Site content, including chatbot output, to train machine learning models without written permission; attempt to gain unauthorized access to the Site, its servers, or any connected system; introduce malware, conduct penetration testing, or interfere with the Site’s operation; impersonate KRYLANE Studio or misrepresent your affiliation with us; or submit false, misleading, or abusive content through our forms or chatbot.
We may block access, remove content, and pursue legal remedies for breach of this section.
All content on the Site — text, graphics, logos, images, video, code, and design — is owned by KRYLANE Studio Inc. or its licensors and protected by copyright and other laws. “KRYLANE,” “KRYLANE Studio,” and our logos are our trademarks, and you may not use them without prior written permission.
You may view and print Site content for your own internal, non-commercial reference. All other use requires written permission.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of California, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and KRYLANE Studio Inc. irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California, and waive any objection to venue or forum non conveniens in those courts.
Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally. The complaining party will send a written notice describing the dispute and the relief sought to [email protected], or to your registered address if we are the complaining party, and the parties will confer for at least 30 days.
In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
Entire agreement. These Terms, together with the applicable Proposal and any signed agreement, constitute the entire agreement between the parties and supersede all prior discussions, proposals, and representations.
Amendments. We may update these Terms from time to time. Changes take effect when posted, and the “Last Updated” date will be revised. Material changes affecting an active engagement will be notified to you in writing, and the version in effect when your Proposal was accepted continues to govern that engagement unless you agree otherwise in writing.
Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in full force.
No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Independent contractor. KRYLANE Studio is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship.
Notices. Notices to us go to [email protected] and to 5 Queens Wreath Way, Irvine, CA 92612. Notices to you go to the email and address on your Proposal. Email notice is effective on the business day after it is sent, absent a delivery failure.
Headings. Section headings are for convenience only and do not affect interpretation.
Electronic signatures. You agree that electronic acceptance, e-signature, and email confirmation have the same legal effect as a handwritten signature.
